1. Acceptance of Terms

By accessing or using the Nepfa Seller Hub ("Platform"), including the web application and mobile applications (iOS and Android), you agree to be bound by these Terms & Conditions. If you do not agree, you must not use the Platform. These terms constitute a binding agreement between you ("Seller," "you") and Nepfa Group Private Limited("Nepfa," "we," "us").

2. Seller Eligibility

  • You must be at least 18 years old
  • You must have a valid business registration in Nepal (PAN/VAT registration) or be authorized to operate
  • You must be the brand owner, authorized distributor, or official importer of the products you list
  • You must provide accurate business information and complete KYC verification during onboarding
  • One seller account per business entity (no duplicate accounts)
  • You must provide valid bank account details for payment disbursement

3. Onboarding & Verification

  • All seller accounts require approval before products can be listed
  • You must submit valid KYC documents: PAN card, citizenship, and brand authorization letter (for distributors)
  • Nepfa reserves the right to reject applications that fail verification
  • Your account status will progress through: pending review → approved → active
  • Providing false or misleading documentation will result in permanent ban

4. Product Listings

4.1 Authenticity Requirement

Nepfa is an authentic brands-only marketplace. You must only list genuine products for which you have proper authorization. Counterfeit, replica, or unauthorized products are strictly prohibited and will result in immediate account suspension.

4.2 Listing Standards

  • Product descriptions must be accurate, complete, and not misleading
  • Images must represent the actual product being sold (no stock photos from other brands)
  • Pricing must include all applicable taxes (VAT-inclusive where required)
  • Stock/inventory availability must be kept up to date at all times
  • All listings are subject to Nepfa's product approval process before going live
  • Product variants (size, color, etc.) must be accurately specified

4.3 Prohibited Products

  • Counterfeit or unauthorized branded goods
  • Illegal substances or controlled items under Nepal law
  • Weapons, ammunition, or explosives
  • Products that infringe intellectual property rights
  • Expired or unsafe consumable goods
  • Tobacco, alcohol, or age-restricted products without proper licensing
  • Any products prohibited by Nepal government regulations

5. Orders & Fulfillment

  • You must fulfill confirmed orders within the agreed timeframe (typically 24–48 hours)
  • You are responsible for proper packaging to prevent damage during transit
  • Order cancellations by the seller should be minimized; excessive cancellations will affect your seller rating and may result in penalties
  • You must cooperate with Nepfa's delivery partners (NCM) for pickup and shipping
  • You must keep your pickup address and zone information current
  • Return and refund requests must be handled per Nepfa's marketplace return policy
  • You are responsible for product quality and must accept legitimate returns

6. Payments & Fees

6.1 Commission

Nepfa charges a commission on each completed sale. The commission rate is communicated during onboarding and may vary by product category. Commission is deducted before payment disbursement. Current commission rates are visible in your seller dashboard.

6.2 Payment Schedule

  • Payments are disbursed weekly to your registered bank account via bank transfer
  • A settlement period (typically 3-7 days after delivery confirmation) applies before funds become available
  • Payment holds may apply for disputed orders, policy violations, or high-value transactions
  • You can view detailed payout history and settlement records in your seller dashboard

6.3 Taxes

You are responsible for all applicable taxes related to your sales including VAT and income tax. Nepfa may withhold tax as required by Nepal Revenue Authority regulations. You must maintain proper tax records and comply with all applicable tax laws.

7. Customer Data & Privacy

  • Customer data (name, address, phone) shared with you is solely for order fulfillment
  • You must not use customer data for independent marketing, spam, or any purpose outside Nepfa
  • You must not share customer data with any third party
  • You must not contact customers outside the Nepfa platform
  • Violation of customer data obligations will result in immediate account termination and potential legal action

8. Seller Conduct

  • Maintain professional communication with customers and Nepfa support
  • Respond to customer inquiries and order issues within 24 hours
  • Do not attempt to redirect customers away from the Nepfa platform
  • Do not manipulate reviews, ratings, or sales metrics
  • Do not engage in price manipulation or anti-competitive practices
  • Comply with all applicable local and national laws of Nepal
  • Keep your store information, inventory, and business details up to date

9. Intellectual Property

You retain ownership of your brand, product images, and descriptions. By listing on Nepfa, you grant us a non-exclusive, royalty-free license to display, market, and promote your products on our platform and marketing channels (including social media). You warrant that you have the legal right to sell the branded products you list and that your listings do not infringe any third-party intellectual property rights.

10. Account Suspension & Termination

Nepfa may suspend or terminate your seller account for:

  • Listing counterfeit or unauthorized products
  • Repeated order cancellations or fulfillment failures
  • Violation of these Terms & Conditions
  • Fraudulent activity, misrepresentation, or false KYC documents
  • Consistently poor customer service or ratings below acceptable threshold
  • Misuse of customer data
  • Legal requirements or regulatory orders

You may close your account at any time by contacting seller support. Pending orders must be fulfilled and outstanding payments will be settled (minus any holds for disputes) before closure.

11. Limitation of Liability

Nepfa provides the Platform on an "as is" basis. We are not liable for lost profits, business interruption, or indirect damages arising from Platform use. Our total liability shall not exceed the commission fees paid by you in the preceding 3 months. We are not responsible for customer disputes regarding product quality — sellers bear full responsibility for their products.

12. Dispute Resolution

Disputes between you and Nepfa shall first be attempted to resolve through negotiation with our seller support team. If unresolved within 30 days, disputes shall be submitted to arbitration in Nepal, under the Arbitration Act of Nepal. The language of proceedings shall be English or Nepali.

13. Governing Law

These Terms are governed by the laws of Nepal including the Electronic Transaction Act, 2063, Consumer Protection Act, 2075, and applicable tax laws. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Nepal.

14. Modifications

Nepfa reserves the right to modify these Terms at any time. We will provide at least 15 days' notice of material changes via email, push notification, or in-app notification. Continued use after the effective date constitutes acceptance. Commission rate changes will be communicated at least 30 days in advance.
